Terms and Conditions

Acknowledgment of orders

All orders must be placed in writing, with clear details of products required, correct codes and with a clear official purchase order number. All order signatures must be accompanied by the name being written in clear terms to identify the originator. Failure to do any of the above may result in the order being delayed or refused. It is the customer’s responsibility to place the correct product codes and descriptions. Alchemy cannot be held responsible for customer errors or omissions. 

Deliveries & charges

Delivery of orders over the minimum net order value, will be delivered free of charge to distributor premises or designated goods area. Orders under the minimum net order value are subject to a delivery charge, depending upon the delivery area. Goods may be delivered on non-Alchemy owned vehicles at any time and therefore may not be liveried with an Alchemy logo etc.

Alchemy will designate the week commencing delivery date of an order. However, the lead time is an estimate and under no circumstances will Alchemy Furniture Ltd be liable for any loss accrued by the distributor, customer or 3rd party, due to delayed deliveries.

All deliveries will be tailboard (not tail-lift) only, unless agreed in writing by Alchemy and must be greeted by the distributor or customer with correct number of personnel and machinery to offload safely from the back/side of the vehicle. In the event that no personnel are available, and the delivery cannot be successfully made, a charge will be incurred by the distributor or customer as a failed delivery. This charge will vary depending upon location, time and size, but will be no less than £150 net.

All goods are checked on departure from our warehouses and will be signed for in good condition. Any damages noted must be reported within 24 hours of receipt or Alchemy will not accept liability. Any damages reported may be investigated by Alchemy personnel for verification before any agreement of replacements can be made.

 Cancellation or postponement of a scheduled delivery, may incur charges due to transport cost and additional storage by Alchemy/their contractors.

Cancellation of orders

We regret that we are unable to accept cancellation of orders except on terms which will indemnify us against loss at all times. We unfortunately are unable to accept cancellations in any circumstances from 5 days after receipt of order. Alchemy reserves the right to claim all loss and expenses which may be incurred as a result of a cancellation.

Alchemy reserves the right to cancel or postpone any order placed by a distributor or customers who have not abided by their payment terms on previous orders. Alchemy therefore shall not be liable for any loss or expenses accrued by the purchaser should we decide to cancel or delay a delivery.

Amendment of orders

We reserve the right to refuse alteration of any orders 2 days after receipt. We may not be able to alter orders under any circumstances on agreed shorter lead time orders. All requested amendments must be placed in writing, clearly stating the original order number and highlighting the changes.

Guarantees

Alchemy offer a five year guarantee for furniture unless stated. This applies only if the furniture & other supplied goods have been used within and by standard office conditions. Alchemy reserve the right to refuse replacement or repair if we feel that the product has been abused or has been accidently damaged by another party. Alchemy also reserves the right to attempt to repair any damaged or faulty products before a decision is made to replace them. In this case, we shall not be liable for any loss occurred by the distributor, customer or 3rd party during this period.

Alchemy will not be liable whatsoever for any consequential damages, loss or other expenses whether arising out of contact, negligence or otherwise.

Any alterations to our products in any manner will automatically nullify any guarantees offered by Alchemy.

Returns

Alchemy will not accept any returned goods unless by strict agreement in writing by a company Director and may incur associated costs. 

Any returns must be made by the purchaser back to our warehouse in good and re-saleable condition at their own expense. If the goods are found to be damaged or un-saleable on their return, then the goods will be charged to the purchaser at original agreed full net price.

Prices

Prices are based on the current price list, and are exclusive of VAT which will be charged at the rate ruling at the time of despatch. These prices may be changed by specific agreement in writing.

In the event of variation or suspension of work by your instructions or lack of instructions, the contract price may be adjusted accordingly.

Quotations

Alchemy quotations are for budgetary purposes only.

It is our customer’s responsibility to check that all monetary values, quantities and specifications have been interpreted correctly by us on any Alchemy quotation and therefore any orders placed against an Alchemy quotation must be thoroughly checked by our customer, before issuing a Purchase Order relating to it. Any errors shall be the sole responsibility of the customer in these instances.

Contracts

Alchemy will be entitled to assign, sub-contract or sub-let any contract.

All contracts will be construed and operate in accordance with English law.

Payment terms

All invoices become due for payment 30 days from invoice date, subject to credit being offered.

Interest of 2.5% per month will be charged for overdue accounts.

Alchemy reserve the right to adjust or withdraw credit terms at any time. 

Should it become necessary to commence legal proceedings for the recovery of a debt then credit facilities will cease.

Goods

Goods shall remain the sole and absolute property of Alchemy as legal and equitable owner of the goods together with the full price of any other goods the subject of any other contract with Alchemy.

Notwithstanding that the goods shall remain the sole and absolute property of Alchemy, the purchaser shall assume the risk in the goods and shall insure the goods for their full market value.

The purchaser acknowledges that it is in possession of the goods solely as a fiduciary for Alchemy until the purchaser becomes the owner of the goods. In the event that the purchaser sells the goods the purchaser acknowledges that the entire proceeds of sale therefore are held in trust for Alchemy and shall not be mingled with other monies or paid into any overdrawn Bank Account and shall be at all times identifiable as Alchemy’s money.

Electrical & Trades

Alchemy do not accept any responsibility for electrical work/installation carried out on or around our products or any resulting damages, loss or expenses accrued from any party.

Alchemy do not accept any responsibility for any other trades or work carried out on or in conjunction with our products, or any resulting damages, loss, or expenses accrued from any party.

Sample goods

All sample goods will be invoiced on delivery and may be offered at preferential rates at the discretion of an Alchemy Director. 

Any goods found to be damaged either on site or when returned to Alchemy, will be charged in full at the items agreed price.

It is the distributor’s responsibility to return any items that have been loaned, in good and re-sellable condition.
